These Terms of Use ("Terms") form a legally binding agreement between HorizonX Ltd, a company incorporated under the laws of the Abu Dhabi Global Market (ADGM) ("HorizonX", "we", "our", or "us"), and any individual or entity ("you", "your") accessing or using the Stratium platform, website (https://stratium.xyz), documentation (https://docs.stratium.xyz), applications, or any related materials and services (collectively, the "Platform" or "Services").

By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you do not agree, you must immediately stop using the Platform.

Nature of the Platform

Stratium is a decentralized structured-finance protocol built on Hyperliquid's HIP-3 architecture, enabling the creation and trading of on-chain derivative markets that mirror traditional structured products such as variance, correlation, and macro exposure.

HorizonX Ltd operates the informational website, user interface, and documentation layer, but does not own, control, or operate the underlying smart contracts. Those contracts run autonomously on the Hyperliquid blockchain and are open-source, permissionless, and non-custodial.

You interact directly with blockchain code at your own discretion and risk. HorizonX is not a broker, fund manager, custodian, or financial intermediary.

Eligibility

By using the Platform, you represent and warrant that you:

• are at least 18 years old and have full legal capacity to enter into binding agreements;

• are not a citizen or resident of, and are not accessing the Platform from, a restricted or sanctioned jurisdiction, including the United States, Iran, North Korea, Cuba, Syria, Russia, or any country subject to sanctions by the United Nations, OFAC, the European Union, or the United Arab Emirates;

• are not listed on any sanctions or watchlist maintained by an international or national authority; and

• will use the Platform only for lawful purposes and in compliance with all applicable laws.

HorizonX reserves the right to restrict access to the Platform if it reasonably believes you do not meet these eligibility requirements.

Platform Access

You may use the Platform solely for lawful purposes.

HorizonX grants you a limited, non-exclusive, revocable license to access and use the Platform for your own personal or institutional purposes, subject to these Terms.

This license does not transfer any ownership rights or intellectual-property interests in the Platform, protocol, or any software components.

Wallets and Non-Custodial Nature

The Platform connects with self-custodial digital wallets provided by independent third parties.

You are solely responsible for safeguarding your wallet, private keys, and seed phrases.

HorizonX:

• does not host or control wallets;

• cannot recover lost keys or reverse transactions; and

• bears no liability for loss of assets resulting from user error, phishing, unauthorized access, or smart-contract interaction.

By connecting your wallet, you authorize on-chain interaction with smart contracts deployed on Hyperliquid. All such transactions are final, irreversible, and public.

No Professional Advice

Nothing contained in the Platform, documentation, or any communication from HorizonX Ltd constitutes financial, investment, legal, tax, accounting, or other professional advice. All information provided through the Platform is for general informational purposes only.

You should consult qualified professionals before making any decisions based on information obtained from the Platform. HorizonX does not recommend or endorse any specific digital assets, investment strategies, tax positions, or legal courses of action.

Any references to past performance, projected returns, or potential outcomes are not guarantees and should not be relied upon as indicators of future results. Digital assets are volatile and speculative, and you may lose some or all of your invested capital.

Risk Disclosure

Using the Stratium protocol involves inherent risks, including but not limited to:

• market volatility and rapid fluctuations in the value of digital assets;

• potential software or smart-contract vulnerabilities;

• impermanent loss, liquidation, or depeg events;

• gas-fee spikes, network congestion, or validator failure; and

• changing regulatory or legal treatment of digital assets.

You acknowledge that HorizonX does not provide financial advice or guarantees of performance, yield, or liquidity.

All actions taken onchain are your own responsibility.

Assumption of Risk

By accessing or using the Platform, you expressly acknowledge and assume the following risks:

Smart Contract Risk. You understand that the Stratium protocol operates through smart contracts deployed on the Hyperliquid blockchain. These smart contracts are autonomous, immutable once deployed, and may contain bugs, vulnerabilities, or unforeseen interactions that could result in partial or total loss of your digital assets.

Protocol Risk. You understand that decentralized finance protocols, including those involving structured products, variance swaps, and derivative instruments, carry inherent risks including but not limited to: oracle failures, liquidation cascades, liquidity crises, and economic exploits.

Regulatory Risk. You understand that the regulatory status of digital assets, DeFi protocols, and structured financial products is unsettled and varies by jurisdiction. Future regulatory developments may adversely affect the availability, functionality, or legality of the Platform or your use thereof.

Counterparty Risk. You understand that while the protocol is non-custodial, interactions with other users, liquidity providers, or external integrations carry counterparty risks that HorizonX cannot eliminate or control.

YOU EXPRESSLY AGREE THAT YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. YOU ASSUME FULL RESPONSIBILITY FOR ALL RISKS ASSOCIATED WITH INTERACTING WITH BLOCKCHAIN-BASED PROTOCOLS AND DIGITAL ASSETS.

Audit and Security

HorizonX maintains a security programme that includes internal review processes, monitoring systems, and a responsible disclosure policy. Security concerns may be reported to [email protected].

The Stratium protocol smart contracts have been reviewed by independent third-party security auditors. Audit reports are available at https://docs.stratium.xyz/risk/audit. However, no audit can guarantee the absence of vulnerabilities. Security audits provide a point-in-time assessment and do not constitute a warranty of security, functionality, or fitness for any particular purpose.

Experimental Features

Certain features of the Stratium protocol may be designated as "beta," "experimental," or "early access." Such features are provided on an as-is basis and may be incomplete, contain errors, or undergo significant changes without notice.

Experimental features may include, but are not limited to:

• New structured product types or trading mechanisms

• Novel pricing models or oracle implementations

• Integrations with third-party protocols or data sources

You acknowledge that interaction with experimental features carries heightened risk and agree that HorizonX bears no additional liability for losses arising from the use of such features. HorizonX may discontinue, modify, or restrict access to experimental features at any time without liability.

Prohibited Conduct

You agree not to:

• use the Platform for unlawful activity, including money laundering, terrorist financing, or sanctions evasion;

• manipulate, disrupt, or interfere with the Platform or any blockchain network connected to it;

• engage in wash trading, spoofing, or other market manipulation;

• reverse engineer or modify Platform code;

• misrepresent your identity or location; or

• bypass geo-restrictions or access controls, including by using VPNs or proxy servers.

HorizonX may suspend or terminate access for violations of these Terms or applicable law.

AML and Sanctions Compliance

HorizonX Ltd is committed to compliance with applicable anti-money laundering (AML), counter-terrorist financing (CTF), and sanctions laws and regulations, including those enforced by the Abu Dhabi Global Market (ADGM), the United Nations, OFAC, and the European Union.

While the Platform does not require account registration or identity verification for basic access, HorizonX reserves the right to:

• Implement identity verification procedures if required by law or regulation

• Monitor on-chain activity for suspicious patterns

• Restrict or terminate access if there is reasonable suspicion of illicit activity

• Cooperate with law enforcement and regulatory authorities as required by applicable law

You represent and warrant that your use of the Platform does not violate any applicable AML, CTF, or sanctions laws in your jurisdiction. You agree not to use the Platform to disguise the origin of funds, evade sanctions, or engage in any activity that would constitute money laundering or terrorist financing.

Fees and Taxes

Interactions with the Stratium protocol may require gas fees, builder fees, or validator fees determined by the underlying blockchain and not by HorizonX. These fees are non-refundable and outside our control.

You are solely responsible for any taxes arising from your use of the Platform. HorizonX does not withhold or remit taxes on your behalf.

Intellectual Property

HorizonX owns all rights to the Stratium brand, trademarks, logo, interface design, documentation, and visual assets. The underlying smart contracts are open-source and governed by their respective licenses.

You may not reproduce, modify, or use HorizonX's intellectual property without written consent.

User Feedback

If you provide HorizonX with any feedback, suggestions, ideas, or other submissions regarding the Platform ("Feedback"), you grant HorizonX a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Feedback for any purpose without compensation or attribution to you.

You represent that you have the right to submit any Feedback and that such Feedback does not infringe any third-party intellectual property rights. HorizonX is under no obligation to use, respond to, or acknowledge any Feedback.

Third-Party Integrations

The Platform may reference or link to third-party services such as wallets, analytics tools, or external applications. HorizonX does not control or endorse these services and bears no responsibility for their accuracy, functionality, or security. Use of third-party tools is entirely at your own risk and subject to their respective terms and privacy policies.

Disclaimers

The Platform and all Services are provided "as is" and "as available." To the maximum extent permitted by law, HorizonX disclaims all warranties—express, implied, or statutory—including any warranties of merchantability, fitness for a particular purpose, or non-infringement.

HorizonX does not warrant that:

• the Platform will operate without interruption or error;

• any data displayed will be accurate or complete; or

• the Platform will meet your expectations or produce financial results.

Limitation of Liability

To the fullest extent permitted by law, HorizonX shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or opportunity. In all cases, HorizonX's aggregate liability shall not exceed USD 100.

These limitations form a fundamental basis of the agreement between you and HorizonX.

Indemnity

You agree to indemnify, defend, and hold harmless HorizonX Ltd, its directors, employees, affiliates, and contractors from and against any claims, losses, liabilities, or expenses arising out of or related to your use of the Platform, your violation of these Terms, or your breach of any applicable law.

Class Action Waiver

YOU AND HORIZONX AGREE THAT ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY.

You waive any right to bring or participate in:

• Class actions

• Collective actions

• Representative actions

• Private attorney general actions

• Consolidated arbitrations involving any other person's claims

This waiver applies to all claims, whether in arbitration, court, or any other forum. If this waiver is found unenforceable as to a particular claim, that claim shall proceed in court without a jury, and you waive any right to a jury trial for such claim.

Arbitration and Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform shall be finally settled by binding arbitration administered by the ADGM Arbitration Centre in accordance with the ADGM Arbitration Regulations 2015. The seat of arbitration shall be Abu Dhabi Global Market, and the language of the proceedings shall be English.

All proceedings shall be conducted on an individual basis only. Either party may seek interim injunctive relief from the ADGM Courts to preserve rights or assets pending arbitration.

Governing Law

These Terms and all non-contractual obligations arising from them are governed by the laws of the Abu Dhabi Global Market (ADGM). The ADGM Courts have exclusive jurisdiction to enforce arbitral awards or interim measures issued under these Terms.

Force Majeure

HorizonX shall not be liable for any delay or failure caused by events beyond its reasonable control, including network failure, cyberattack, war, regulatory intervention, or natural disaster.

Amendments

HorizonX may revise these Terms from time to time. Updated Terms will be posted at https://docs.stratium.xyz/legal/terms-of-use. Continued use of the Platform after any update constitutes acceptance of the revised Terms.

Termination

HorizonX may suspend or revoke your access to the Platform at any time and for any reason, including if you breach these Terms or any applicable law. Termination will not affect the validity of any on-chain transaction already executed.

Survival

The following provisions shall survive the termination or expiration of these Terms: Nature of the Platform, Wallets and Non-Custodial Nature, No Professional Advice, Risk Disclosure, Assumption of Risk, Fees and Taxes, Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, Class Action Waiver, Arbitration and Dispute Resolution, Governing Law, and any other provisions that by their nature should survive termination.

Termination of these Terms shall not relieve either party of any obligation or liability accrued prior to such termination, nor shall it affect any rights or remedies that may have accrued to either party prior to termination.

Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without the prior written consent of HorizonX Ltd. Any attempted assignment in violation of this provision shall be null and void.

HorizonX may assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, to any affiliate, successor, or acquirer of all or substantially all of its business or assets, without restriction and without notice to you. Upon any such assignment, the assignee shall assume all rights and obligations of HorizonX under these Terms.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

Waiver

The failure of HorizonX to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of HorizonX.

No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof or the exercise of any other right or remedy. The rights and remedies provided in these Terms are cumulative and not exclusive of any rights or remedies provided by law.

Electronic Communications

By accessing or using the Platform, you consent to receive electronic communications from HorizonX Ltd. You agree that all agreements, notices, disclosures, and other communications that HorizonX provides to you electronically satisfy any legal requirement that such communications be in writing.

Electronic communications may include, but are not limited to:

• Notifications regarding changes to these Terms or the Privacy Policy

• Service announcements and operational updates

• Security alerts and incident notifications

• Responses to inquiries submitted to [email protected]

You are responsible for maintaining a valid means of receiving electronic communications. HorizonX is not liable for any failure of delivery resulting from outdated or inaccurate contact information, spam filters, or technical failures beyond our reasonable control.

Privacy

Your use of the Platform is also governed by our Privacy Policy, available at https://docs.stratium.xyz/legal/privacy-policy. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to the collection, use, and disclosure of your information as described in the Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference. In the event of any conflict between the Privacy Policy and these Terms regarding the handling of personal data, the Privacy Policy shall control.

Entire Agreement

These Terms, together with the Privacy Policy, represent the complete and exclusive agreement between you and HorizonX Ltd regarding use of the Platform. If any provision is held invalid, the remainder shall continue in full effect. No waiver of any term shall be deemed a continuing waiver unless expressly stated in writing.
